These Terms of Service (“Terms”) govern your use of the CU Labs Single Sign-On External Login Provider (“CU Labs SSO” or “Service”). By using the Service, you agree to these Terms.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

1. Service Description

CU Labs SSO enables organizations to authenticate users using supported identity providers, including Microsoft Entra ID and other compatible OpenID Connect providers. The Service allows secure login to integrated CU Labs applications and approved third-party applications.

2. Eligibility

You may only use the Service if you:

  • Are at least 18 years old, and
  • Are authorized by your organization to access its connected identity provider.

The Service is intended for business and organizational use only.

3. Account Registration and Access

To use the Service, your organization must:

  • Have an active account with CU Labs; and
  • Connect a supported identity provider for authentication.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

4. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes or in violation of applicable laws or regulations.
  • Attempt to bypass or disable any security or authentication features.
  • Misuse the Service to gain unauthorized access to data or systems.
  • Interfere with the operation of the Service or related systems.

We reserve the right to suspend or terminate your access for any breach of these Terms.

5. Data Privacy and Security

  • CU Labs SSO processes only the minimum identity attributes required for authentication and authorization.
  • Authentication is handled directly with your connected identity provider; CU Labs does not store passwords.
  • Data handling is governed by our Privacy Policy.
  • You remain responsible for your organization’s identity provider configuration and security settings.

6. Intellectual Property

All rights, title, and interest in the CU Labs SSO Service, including software, documentation, and branding, are owned by CU Labs. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

7. Service Availability

We aim to provide a reliable authentication service but do not guarantee uninterrupted availability. Scheduled maintenance or unforeseen outages may occur.

8. Disclaimers

The Service is provided “as is” without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation any warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law:

  • CU Labs is not liable for indirect, incidental, special, or consequential damages arising from your use of the Service.
  • Our total liability for any claim related to the Service will not exceed the amount paid by your organization for the Service in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles.

12. Changes to These Terms

We may modify these Terms from time to time. Updated versions will be posted on our website, and continued use of the Service constitutes acceptance of the modified Terms.
